Terms of Service
Effective Date: March 23, 2026
This Terms of Service (“Agreement”) is a legally binding contract between you (“User”) and ZeeReport Ltd (the “Company,” “we,” or “us”) regarding your use of the ZeeReport website and services (the “Platform”).
Notice: Binding Arbitration and Class Action Waiver
Please read this agreement carefully. It contains a mandatory arbitration provision. Unless you opt out, you agree to settle any disputes through binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.
1. Acceptance and Unilateral Modification
- Binding Agreement
- By accessing the Platform, you agree to be bound by this Agreement and our Privacy & Data Policy.
- Right to Modify
- ZeeReport Ltd reserves the right to modify these terms at any time at its sole discretion to maintain operational latitude.
- Notice of Change
- We will provide notice of material changes via the website. Your continued use following such notice constitutes binding acceptance of the updated terms.
2. Eligibility and Geographic Restrictions
- Age Representation
- You represent that you are at least 18 years of age and possess the legal capacity to form a binding contract. The Platform is not intended for children under 13.
- Jurisdictional Intent
- The Platform is intended for use within the United States and Canada. We do not claim compliance with non-North American data regimes, such as the GDPR or PIPL.
3. Intellectual Property and the “Data Flywheel”
To protect the enterprise valuation of the Company, we enforce the following data rights:
- Customer Content
- You own the Personal Information (PII) provided during an Inquiry Action. You grant us a worldwide, royalty-free, irrevocable license to process this data to facilitate requested services.
- Derived Data Ownership
- ZeeReport Ltd owns all right, title, and interest in “Derived Data,” including all statistical insights, benchmarks, and proprietary scores (e.g., “Franchise Failure Risk Score™”) generated by our processing systems.
- Machine Learning License
- You grant us a perpetual, irrevocable license to use de-identified Customer Content and Usage Data to train, tune, and improve our artificial intelligence models.
- User Uploads
- If you upload an FDD or other document, you grant us an irrevocable license to extract and aggregate that data into our permanent database.
4. AI Optimization (AIO) and Anti-Scraping
- Prohibited Extraction
- Use of automated bots, crawlers, or scrapers to harvest data for training third-party AI models or creating competing datasets is strictly prohibited.
- AIO Exception
- We grant a limited license to AI search agents (e.g., Perplexity) to crawl public reports solely to provide attributed citations and referral traffic back to the Platform.
5. Disclaimers: “Smart Peer” Analysis
- Informational Purposes Only
- All content is provided “as-is” for informational purposes. We are not financial advisors, legal counsel, or broker-dealers.
- Algorithmic Perspectives
- “Pros,” “Cons,” and “Red Flag” narratives are generated via deterministic and probabilistic AI models. These are algorithmic interpretations, not audited facts.
- Independent Verification
- You are solely responsible for conducting independent due diligence and verifying all Platform data against the raw, official FDD.
- Stale Data
- We do not guarantee that our reports reflect the most current version of an FDD or state-specific filings.
6. Inquiry Actions and Business Transfers
- Lead Transmission
- Clicking “I'm Interested” or similar buttons provides express consent for us to transmit your contact info to the specific franchisor featured.
- Exit Strategy
- In the event of a merger, acquisition, or sale of assets, all data—including PII and Derived Data—is a transferable business asset that may be assigned to a successor without your prior consent.
7. Liability and Termination
- Limitation of Liability
- Our aggregate liability shall not exceed the total amount paid by you to the Platform in the twelve (12) months preceding the claim.
- Termination for Convenience
- We reserve the right to unilaterally terminate your access at any time, for any reason, without notice or liability.
8. Strategic Dispute Resolution
- Governing Law
- This Agreement is governed by the laws of the State of Delaware.
- Individual Arbitration
- Disputes shall be settled via binding arbitration administered by JAMS or the AAA.
- Mass Arbitration Defense
- If 25 or more similar claims are filed, they shall be processed in batches of 50. ZeeReport Ltd's obligation to pay arbitration fees is tolled for cases outside the active batch.
